Please read these terms and conditions before accessing the ChemSilico's world wide web pages and/or the ChemSilico Secure Site (considered together the ChemSilico Web Site). Use of the ChemSilico Site translates into your agreement with these terms and conditions. If you are not in agreement with these terms and conditions, please exit the ChemSilico Web Site.


1. Copyright and Proprietary Rights

The ChemSilico Web site is the property of ChemSilico and operates under the protection of United States and International Copyright laws. All copyright, trademark, and other proprietary rights in the ChemSilico Site as well as its software, text, graphics, design elements, and all other materials incorporated or used by ChemSilico at its site are reserved to ChemSilico and its licensors.


You may not reproduce any part of the ChemSilico Web Site content or information accessed at other sites through links made via the ChemSilico Site other than downloading portions or printing out portions of the text and images for your own personal, non-commercial use.


You may not add, delete, or modify the ChemSilico Site or linked sites ("Other Sites") and you are obligated to follow the copyright and other restrictions imposed by Other Sites. The ChemSilico Site or Other Sites are not to be use in any manner that may infringe on the rights of any person or entity.


Other Sites linked to ChemSilico Site and the reverse does not mean an affiliation or sponsorship, or endorsement by the ChemSilico Site. All associated domain names, trademarks, and information contained on Other Sites are the sole property and responsibility of their respective owners


2. Security and Responsibility for Submitted Content

ChemSilico does not screen, edit or review material submitted by users who access the ChemSilico Site and/or directly the ChemSilico Secure Site ("Secure Site") for the purpose of obtaining physio-chemical property predictions on submitted material. ChemSilico provides 56-bit encryption to users of its "Secure Site" when user transmits compound structures through common Web Browsers to be processed by our demonstration software. Not all versions of popular browsers (i.e, Netscape or Internet Explorer) are able to handle 128-bit encryption especially earlier versions so 56-bit is the standard for the present. ChemSilico accepts no responsibility or liability for any material sent to its Secure Site. Such material may reside temporarily on our Web Server or any of its parallel servers while being processed.  Since ChemSilico has no obligation to review or edit materials submitted by users, such materials may be removed by ChemSilico at any time for any reason. Such loss of user submitted material is not the responsibility of ChemSilico.


3. Exclusions of Warranties

No warranties of any kind are made with respect to the ChemSilico Site, ChemSilico Information (site content), or ChemSilico physio-chemical property predictions for organic compounds, whose structures were submitted by the user. CHEMSILICO DOES NOT WARRANT THAT THE CHEMSILICO SITE OR CHEMSILICO PROPERTY PREDICTIONS WILL MEET YOUR REQUIREMENTS, WILL BE ACCURATE, OR WILL BE UNINTERRUPTED OR ERROR FREE. WE EXPRESSLY EXCLUDE AND DISCLAIM ALL EXPRESSED AND IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE SHALL NOT BE RESPONSIBLE FOR ANY DAMAGE OR LOSS OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF THE CHEMSILICO SITE AND/OR THE CHEMSILICO SECURE SITE FOR USE OF PROPERTY PREDICTIONS, INCLUDING WITHOUT LIMITATION DATA LOSS OR CORRUPTION, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED IN TORT, CONTRACT OR OTHERWISE.


4. Responsibility in Compound Submission and Return of Results

All material sent and uploaded to the ChemSilico Secure Site for the purpose of obtaining physio-chemical property predictions on such material is the sole responsibility of the user in terms of the user's legal right to make such a transmission to the ChemSilico Secure Site. ChemSilico bears no legal responsibility for any and all illegal actions of users in regard to material sent to the Secure Site. ChemSilico's only responsibility is to e-mail back results on property predictions on such material in a timely manner to the e-mail address provided by the user.


5. Export Controls

Your use of the ChemSilico Site and/or the Secure Site will comply with all applicable laws, rules and regulations that govern the export of technical data.


6. Choice of Law and Jurisdiction

This ChemSilico Site is managed from our offices in the State of Massachusetts, United States of America. This Agreement shall be governed by and construed in accordance with the laws of the State of Massachusetts, without reference to any conflict of law principles.


7. Limitation of Liability

IN NO EVENT SHALL CHEMSILICO OR ITS EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR MULTIPLE DAMAGES OF ANY KIND.


8. Limitation of Claims

Any claim against ChemSilico must be acted upon by the user within one (1) year following the date the claim first accrued, or it shall be deemed waived.


9. Entire Agreement

This is the entire agreement between the parties. It may not be modified or amended, except in writing signed by both parties.
